Terms & Conditions

Please read these terms and conditions carefully before accessing or using the Reebuy platform or services.

Preamble

These Terms and Conditions ("Terms") constitute a legally binding agreement between Reebuy Escrap, operating under the brand name Reebuy, having its registered office at H. No. 100, Churiya Mohalla, Tekhand Village, Okhla Industrial Estate Phase-I, New Delhi-110020 ("Reebuy", "Company", "we", "us" or "our"), and any individual or entity ("Seller", "User", "you" or "your") accessing or using the website, mobile application, or services offered by Reebuy.

By accessing or using the Platform or initiating a transaction with Reebuy, you acknowledge that you have read, understood and agreed to be bound by these Terms.

1. Definitions

Unless the context otherwise requires:

  • "Device" means any mobile phone, smartphone, tablet, laptop, smartwatch, accessories or other electronic goods proposed to be sold to Reebuy.
  • "Platform" means the website, mobile application and associated services operated by Reebuy.
  • "Seller" means the individual or entity offering a Device for sale.
  • "Transaction" means the process involving inspection, valuation, acceptance and purchase of a Device.

2. Eligibility

You represent and warrant that:

  • you are at least eighteen (18) years of age;
  • you are competent to contract under applicable laws;
  • you are entering into this agreement voluntarily;
  • if acting on behalf of a company or other entity, you possess necessary authority to bind such entity.

3. Seller Representations and Warranties

You represent and warrant that:

  • you are the lawful and beneficial owner of the Device or are duly authorized to sell the same;
  • the Device has not been obtained through theft, fraud, criminal breach of trust or any unlawful means;
  • the Device is free from liens, charges, encumbrances or third-party claims;
  • the information provided by you is true, complete and accurate;
  • the Device is not counterfeit, cloned or illegally modified;
  • the Device does not contain unlawful material or prohibited content.

4. Prohibited Transactions

Reebuy reserves the right to refuse any Device which:

  • is stolen or suspected to be stolen;
  • is blacklisted or blocked;
  • bears tampered IMEI numbers;
  • contains counterfeit components;
  • is under dispute;
  • is subject to any investigation;
  • has activation locks that cannot be removed;
  • has been misrepresented.

5. Identity Verification

Reebuy may require from you:

  • Aadhaar Card;
  • PAN Card;
  • Passport;
  • Driving Licence;
  • Voter ID;
  • GST Registration;
  • Authorization Letter;
  • Any other documents deemed necessary.

Failure to provide satisfactory documentation may result in rejection of the Transaction.

6. Device Inspection

All quotations provided by Reebuy are indicative and subject to inspection. The device must be in the exact condition as described by the Seller during the initial offer or quotation process. Any discrepancy in condition may lead to a revised offer or outright rejection of the transaction by Reebuy at its sole discretion.

Reebuy reserves the right to:

  • inspect and test the Device;
  • verify IMEI and serial numbers;
  • assess cosmetic and functional condition;
  • revise the quoted value;
  • reject the Device.

The final purchase value shall be determined solely after inspection.

7. Price Revision

Where the actual condition of the Device differs from the information provided by the Seller, Reebuy may revise the purchase price.

The Seller may either:

  • accept the revised value; or
  • decline the Transaction prior to completion.

Reebuy shall not be obligated to purchase any Device.

8. Data Backup and Deletion

The Seller is solely responsible for:

  • backing up all information;
  • deleting personal data;
  • removing SIM cards;
  • removing memory cards;
  • signing out of all accounts.

Reebuy shall not be liable for:

  • loss of data;
  • corruption of data;
  • recovery of deleted information;
  • unauthorized access resulting from failure of the Seller to erase data.

9. Activation Locks

Before handing over the Device, the Seller shall disable:

  • iCloud Lock;
  • Find My iPhone;
  • Google FRP Lock;
  • Samsung Account Lock;
  • Mi Account Lock;
  • any other password or activation mechanism.

Devices with unresolved activation locks may be rejected.

10. Devices under Finance or Lease

The Seller warrants that the Device:

  • is not under any outstanding EMI;
  • is not hypothecated;
  • is not leased;
  • is not rented;
  • is not subject to any financing arrangement.

Any loss suffered by Reebuy arising from breach of this clause shall be recoverable from the Seller.

11. Pickup Procedure

At the time of pickup, the person/entity whose name is reflected on the invoice or who has been duly authorised by the Seller (with valid proof of authorisation) must be physically present to facilitate the handover. The Seller must provide the original purchase invoice or valid proof of ownership for the electronic device at the time of pickup. Failure to produce the same may result in cancellation of transaction.

The Device shall only be handed over to an authorized representative of Reebuy. The Seller shall verify the identity of the representative before handing over the Device by checking their official Reebuy identification card/badge.

Reebuy shall not be responsible for Devices handed over to unauthorized persons.

11.1 Proof of Ownership in Absence of Invoice

Notwithstanding anything contained herein, the Seller acknowledges and agrees that the original purchase invoice, bill or proof of purchase of the Device may not always be available. In cases where:

  1. (a) the Seller does not possess the original invoice or bill relating to the Device; or
  2. (b) the Device has been acquired by way of gift, inheritance, family transfer or any other lawful means,

the Seller shall furnish such other information or documents as may be required by Reebuy to establish ownership/title and shall execute a declaration, consent form or undertaking, in such form as may be prescribed by Reebuy, affirming that the Seller is the lawful and beneficial owner/occupier of the Device and is fully authorized to sell and transfer the same.

The Seller further represents and warrants that the Device has been acquired through lawful means and is free from any lien, charge, encumbrance, theft, fraud or third-party claim.

Reebuy shall have the sole and absolute discretion to accept or reject any Device in the absence of the original invoice or bill and may require additional proof of ownership, identity verification or supporting documents before completing the Transaction.

12. Payment Terms

Payment shall be made through approved banking channels to the verified bank account of the legal owner of the device or an authorised seller, as identified through the provided government-issued identification and ownership documents. Cash payments are generally not made for security and compliance reasons.

Reebuy reserves the right to withhold, defer, reject payment where fraud, discrepancy or suspicion exists.

13. Transfer of Ownership

Upon acceptance of the Device and completion of payment, all rights, title and interest in the Device shall irrevocably vest in Reebuy.

Thereafter, Reebuy may refurbish/dismantle/recycle/destroy/dispose of/transfer the Device in any manner deemed appropriate.

14. Fraudulent Transactions

Reebuy reserves the right to cancel any transaction involving all or any of the following:

  • forged documents;
  • false representations;
  • stolen Devices;
  • tampered IMEI;
  • counterfeit parts;
  • ownership disputes;
  • suppression of material facts.

Reebuy may cooperate with law enforcement authorities and initiate appropriate civil or criminal proceedings.

15. Recovery Rights

If payment has been made and the Device is subsequently found to be stolen or counterfeit or illegally obtained or misrepresented, the Seller shall immediately refund the amount received together with transportation costs, inspection charges, storage expenses, legal costs and damages suffered by Reebuy.

16. Consent to Recording

The Seller consents to:

  • call recording;
  • video recording;
  • photography;
  • collection of transaction evidence.

Such records may be relied upon in legal proceedings.

17. Electronic Consent

OTP verification, electronic signatures, emails, SMS messages and digital acknowledgements shall constitute valid and binding consent.

18. Intellectual Property

All intellectual property rights in the Platform, including trademarks, logos, designs, content and software, belong exclusively to Reebuy.

No rights are transferred to the User.

19. Limitation of Liability

To the fullest extent permitted by law, Reebuy shall not be liable for indirect losses/consequential damages/loss of profits/loss of business opportunity/loss of goodwill/loss of data.

The aggregate liability of Reebuy shall not exceed the amount paid by Reebuy for the Device.

20. Indemnity

The Seller agrees to indemnify and hold harmless Reebuy, its proprietors, directors, employees, agents and affiliates from and against any claims, proceedings, losses, damages, liabilities, costs and expenses arising out of:

  • breach of these Terms;
  • fraud;
  • misrepresentation;
  • third-party claims;
  • violation of law;
  • ownership disputes.

21. Force Majeure

Reebuy shall not be liable for delay or failure caused by circumstances beyond its reasonable control.

22. Suspension and Termination

Reebuy may suspend or terminate access to its Platform or services without prior notice if it reasonably believes that:

  • these Terms have been violated;
  • fraud is suspected;
  • applicable laws require such action.

23. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India. Any dispute arising out of these Terms shall first be attempted to be resolved amicably. The courts in Delhi, India shall have exclusive jurisdiction to entertain any suit, application or other proceedings arising out of or in connection with these terms or the services provided by Reebuy.

24. Severability

If any provision is held invalid, the remaining provisions shall continue to remain in full force and effect.

25. Entire Agreement

These Terms together with the Privacy Policy and Refund and Cancellation Policy constitute the entire agreement between the parties and supersedes prior or contemporaneous communications, understandings, and agreements, whether oral or written.

26. Amendments

Reebuy reserves the right to modify these Terms at any time without prior notice to the seller. Updated versions shall become effective upon publication on the Platform. The seller shall be responsible to review these Terms periodically for any changes. Continued use of our services after any such modifications shall constitute your consent to such modifications.

27. Declaration and Undertaking by Seller

By initiating a transaction with Reebuy and transferring possession of the Device, the Seller hereby irrevocably declares, represents and undertakes that:

27.1 The Seller is the lawful owner of the Device or is duly authorized by the lawful owner to sell and transfer the Device.

27.2 The Device has been acquired through lawful means and is free from any theft, fraud, misappropriation, lien, charge, encumbrance or third-party rights.

27.3 The Device is not lost, stolen, counterfeit, cloned, blacklisted or subject to any police investigation or legal proceedings.

27.4 All information, declarations and documents furnished to Reebuy are true, accurate and complete and no material fact has been concealed.

27.5 The Seller has permanently removed all passwords, activation locks, user accounts, SIM cards, memory cards and personal data from the Device.

27.6 The Seller understands and agrees that upon acceptance of the Device and release of payment, ownership and all rights, title and interest in the Device shall irrevocably vest in Reebuy.

27.7 The Seller agrees to indemnify and keep indemnified Reebuy, its proprietors, employees, representatives and affiliates against all claims, proceedings, liabilities, losses, damages, costs and expenses, including legal fees, arising out of any breach of this declaration or any defect in title or ownership of the Device.

27.8 The Seller consents to the collection of KYC documents, call recordings, photographs, video recordings, OTP verification and other electronic records for the purposes of transaction verification and legal compliance.

27.9 The Seller acknowledges that these declarations shall survive completion or termination of the Transaction and shall continue to remain binding upon the Seller.
